These Terms of Service govern your use of our websites, applications and professional services, and disclose the role of third-party payment and on-ramp providers.
§ 01
Introduction & Platform Role
These Terms of Service ("Terms") govern your access to and use of the websites, applications, dashboards and professional services operated by Lumora Design Software Ltd (company number 17246178, registered in England & Wales), trading as Softlumora ("we", "us", "the Platform"). By creating an account, requesting a quotation, paying an invoice or otherwise using our services, you confirm that you have read, understood and accepted these Terms in full.
We provide digital services: software design and engineering, applied-AI consulting, and software-as-a-service tooling delivered under a written statement of work or subscription. Our commercial relationship with you concerns the delivery of those services and the invoicing of the corresponding fees.
We are not a financial institution
We do not operate as a bank, credit institution, e-money institution, payment institution, money transmitter, money services business, broker-dealer, exchange, custodian or Virtual Asset Service Provider (VASP). We do not hold, pool, transmit or invest customer funds, we do not offer investment, tax or legal advice, and we do not issue, exchange, list or custody digital assets on our own account.
- You must be at least 18 years old and legally capable of entering into a binding contract.
- You are responsible for the accuracy of the business and billing information you provide to us.
- Where a signed statement of work, master services agreement or order form exists, that document prevails over these Terms in the event of conflict.
- We may amend these Terms to reflect changes in law, regulation or our service offering; material changes are published on this page with an updated revision date.
§ 02
Third-Party On-Ramp Integration (MoonPay Disclosures)
Where you choose to settle an invoice or fund a service using cryptocurrency, the Platform may present an embedded or linked fiat-to-crypto on-ramp operated by MoonPay and/or its affiliates and licensed entities ("MoonPay"). MoonPay is an independent third-party provider. It is not our agent, subcontractor, partner in law, or representative, and we do not control its systems, pricing, availability or decisions.
- All fiat-to-cryptocurrency conversion, card and bank payment processing, order routing, digital asset sourcing, execution and delivery are performed independently by MoonPay.
- By using the on-ramp you enter into a direct contractual relationship with MoonPay, governed exclusively by MoonPay's Terms of Use, Privacy Policy and applicable regional disclosures, which you should read before transacting.
- We never take custody of your fiat funds, card credentials, bank credentials, private keys, seed phrases or digital assets during the conversion. Payment credentials are submitted directly to MoonPay's environment.
- Exchange rates, spreads, network fees, processing fees, minimum and maximum limits, supported assets, supported payment methods and settlement times are set and disclosed by MoonPay, not by us.
- MoonPay may accept, decline, delay, suspend or reverse an order under its own risk, compliance and fraud policies. We have no authority to override, appeal, expedite or reverse such a decision.
- Support for a payment or on-ramp order is provided by MoonPay. We can assist with service-level questions relating to our own invoices and deliverables only.
Nothing in these Terms creates a joint venture, agency, partnership or employment relationship between us and MoonPay. Any dispute arising from a payment, conversion or asset delivery must be raised with MoonPay under its own dispute procedures.
§ 03
Identity Verification & Anti-Money Laundering (AML/KYC)
Regulated payment and on-ramp providers are required by law to verify the identity of their customers. Before, during or after an order is placed, MoonPay may carry out customer due diligence and ongoing monitoring in its own name and as the responsible regulated entity.
- Know-Your-Customer (KYC) identification, including government-issued photo identification, proof of address, selfie or liveness checks and date-of-birth verification.
- Sanctions, politically-exposed-person (PEP) and adverse-media screening against applicable national and international lists.
- Source-of-funds and source-of-wealth enquiries where thresholds, risk indicators or regulatory obligations require it.
- Transaction monitoring, velocity checks, device and behavioural analytics, and blockchain analytics on destination wallet addresses.
- Enhanced due diligence for higher-risk profiles, jurisdictions, transaction sizes or payment methods.
You agree to provide accurate, current and complete documentation promptly when requested, and to notify us or MoonPay if previously supplied information changes. Submitting false, altered, borrowed or misleading identification documents is a material breach of these Terms.
Verification is performed by MoonPay under its own regulatory permissions. We do not perform the verification decision, we do not receive or store your identity documents, and we cannot influence, appeal or accelerate a verification outcome. Where a verification fails or is pending, an order may be rejected or held, and the related service delivery may be delayed until an alternative settlement method is agreed. We may suspend service delivery where we reasonably suspect illegal activity or a sanctions exposure, and may report such suspicion to the competent authorities without notifying you where the law prohibits tipping off.
§ 04
Transaction Finality & Irreversibility
Blockchain transactions are irreversible
Digital asset transactions recorded on a public blockchain cannot be undone. Once an on-ramp order has been initiated and processed, it cannot be canceled, recalled, reversed, charged back or refunded by us. There is no central authority able to restore transferred assets. Assets sent to an incorrect, incompatible, contract-only or unsupported wallet address, or on the wrong network, are permanently lost.
- You are solely responsible for verifying the destination wallet address, network and asset before confirming an order.
- We do not offer refunds, cancellations or reversals for completed conversions or completed on-chain transfers.
- Any refund of our own professional service fees, where contractually available, is handled separately in fiat under the applicable statement of work and never as a reversal of a blockchain transaction.
- Initiating a card chargeback for a completed and delivered on-ramp order may constitute fraud and may result in suspension of your access and referral to MoonPay or law enforcement.
§ 05
Cryptocurrency & Volatility Risk Disclosure
Formal risk disclosure
Digital assets are high-risk instruments. Their value can fall rapidly and without warning, and you may lose the entire value of the assets you acquire. Digital assets are generally not covered by deposit-guarantee or investor-compensation schemes. Nothing on this Platform constitutes investment advice, a solicitation, an inducement or a recommendation to acquire any digital asset.
- Market risk — prices are volatile and driven by factors entirely outside our control, including liquidity, sentiment, regulation and market abuse.
- Exchange-rate risk — the rate quoted at the start of an order may differ from the rate at execution. We are not liable for exchange-rate movement, slippage, spread or quote expiry.
- Network risk — blockchain congestion, elevated fees, reorganisations, forks, halted networks, validator failures and protocol bugs may delay or prevent delivery.
- Latency and availability risk — third-party APIs, banking rails, card networks and node providers may be slow, degraded or unavailable.
- Technology and security risk — wallet compromise, lost keys, phishing, malware and smart-contract vulnerabilities may lead to irrecoverable loss.
- Regulatory risk — changes in law may restrict, tax or prohibit the acquisition, holding or transfer of digital assets in your jurisdiction.
You confirm that you use the on-ramp at your own risk, with funds you can afford to lose, and that you are solely responsible for determining the tax treatment and legality of your activity in your jurisdiction.
§ 06
Prohibited Jurisdictions & Activities
You may not use the Platform, our services or any integrated on-ramp for any unlawful purpose. The following activities are strictly prohibited and will result in immediate termination and, where required, a report to the competent authorities:
- Money laundering, layering, structuring or the disguising of criminal proceeds.
- Terrorism financing or the financing of proliferation of weapons of mass destruction.
- Sanctions evasion, or acting for or on behalf of a sanctioned person, entity, vessel or government.
- Fraud, phishing, identity theft, account takeover, card testing, chargeback abuse or use of stolen payment instruments.
- Unlicensed gambling, illegal betting, darknet marketplaces, ransomware, extortion or mixing and tumbling services.
- Trafficking in persons, weapons, controlled substances, stolen data or child sexual abuse material.
- Market manipulation, unregistered securities offerings, Ponzi or pyramid schemes.
- Circumventing geographic restrictions or verification controls using VPNs, proxies, nominees or falsified documentation.
Restricted regions
The Platform and the on-ramp are not offered to persons resident, established, located in or acting from jurisdictions subject to comprehensive sanctions, or jurisdictions identified by the Financial Action Task Force (FATF) as High-Risk Jurisdictions subject to a Call for Action ("blacklisted"), nor to any person appearing on a applicable sanctions list including those maintained by the UN, UK (OFSI), EU and US (OFAC). MoonPay maintains its own list of unsupported countries, states and territories, which may be broader than ours and may change at any time. You represent that you are not located in, and are not acting on behalf of any person located in, a restricted jurisdiction.
§ 07
Limitation of Liability & Indemnification
To the maximum extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive loss, nor for loss of profit, revenue, business, goodwill, opportunity, data or anticipated savings, however arising.
Third-party and network events
- Downtime, degradation, error, maintenance or discontinuation of a third-party API, including the MoonPay on-ramp.
- An order that MoonPay declines, delays, holds, cancels or refunds under its own compliance, risk or fraud policies.
- Blockchain network congestion, fee spikes, failed or stuck transactions, reorganisations, forks or protocol failure.
- Loss caused by your own error, including an incorrect wallet address, wrong network selection, lost private key or compromised device.
- Fluctuations in exchange rates, spreads or asset value between quotation, execution and settlement.
- Acts of god, war, civil unrest, government action, banking outages, card-scheme decisions or other force majeure events.
Where liability cannot lawfully be excluded, our aggregate liability arising from or connected to the services is limited to the total fees actually paid by you to us for the specific service giving rise to the claim in the three (3) months preceding the event. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited.
Indemnification
You agree to indemnify and hold harmless us, our directors, officers, employees and contractors against any claim, demand, penalty, fine, loss, cost or reasonable legal expense arising from your breach of these Terms, your violation of law or sanctions, your submission of inaccurate verification information, or your misuse of the Platform or the on-ramp.
Governing law
These Terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction, without prejudice to mandatory consumer protections available to you in your country of residence.
